These Terms of Service (“Terms”) govern your use of the services provided by HummingTribe (“we”, “us”, “our”).
By creating an account, placing an order, or using any of our services, you (“Customer”, “you”, “your”) agree to be bound by these Terms. If you do not agree, do not use our services.
These Terms apply to all services offered through hummingtribe.com, including but not limited to: S3-compatible object storage (“Offsite Backup”), shared web hosting (“Shared Hosting”), managed backup services (“Managed Backup”), managed IT services (“Managed IT”), managed cloud VPS (“Cloud VPS”), and managed dedicated servers (“Dedicated Servers”), collectively referred to as “Services”.
2.1. You must be at least 18 years old to use our Services.
2.2. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2.3. You must provide accurate and complete registration information, including a valid email address.
3.1. You must create an account to use our Services. You are responsible for maintaining the confidentiality of your account credentials, including your password and any SSH keys or API access keys.
3.2. You are responsible for all activity that occurs under your account. You must notify us immediately at hello@hummingtribe.com if you become aware of any unauthorized access or use of your account.
3.3. We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.
4.1.1. We provide S3-compatible object storage hosted in European data centers in Germany.
4.1.2. Each subscription includes one storage bucket with a storage quota corresponding to the selected tier.
4.1.3. Bandwidth (egress and ingress) is unlimited and included at no additional cost.
4.1.4. Data is stored on redundant storage (RAID). However, this is a storage service, not a backup service. We do not guarantee against data loss. You are responsible for maintaining independent backups of any data stored with us.
4.2.1. We provide web hosting services including disk space, database access (MariaDB), and SFTP access.
4.2.2. Resource limits (disk space, number of domains) correspond to the selected plan.
4.2.3. We do not provide email hosting. Transactional emails (e.g., password resets from hosted applications) are the Customer’s responsibility.
4.2.4. You may not use shared hosting resources for activities that negatively impact other customers on the same server, including but not limited to: cryptocurrency mining, excessive CPU or memory usage, mass mailing, or running background processes that consume disproportionate resources.
4.3.1. We provide managed cloud virtual private servers hosted in German data centers.
4.3.2. Each subscription includes a virtual server with specifications corresponding to the selected tier (CPU, RAM, storage, bandwidth).
4.3.3. Management services include: operating system installation and hardening, monitoring and alerting, security patching, firewall management, backup configuration, and priority support during business hours (CET).
4.3.4. You receive full root access to your server. While we manage the infrastructure layer, you are responsible for any software, applications, or configurations you install.
4.3.5. Traffic is included up to 20 TB per month. Usage beyond this amount may be subject to additional charges or throttling at our discretion.
4.4.1. We provide managed dedicated (bare metal) servers hosted in German data centers.
4.4.2. Each subscription includes a physical server with specifications corresponding to the selected tier. A one-time setup fee is charged for hardware commissioning and management provisioning.
4.4.3. Management services are identical to those provided for Cloud VPS (Section 4.3.3).
4.4.4. You receive full root access. You are responsible for any software, applications, or configurations you install.
4.4.5. Dedicated server provisioning requires physical hardware setup and typically takes 1–4 hours. Availability of specific hardware configurations is subject to datacenter stock. If your chosen configuration is unavailable, we will notify you and you may cancel your order for a full refund of the setup fee.
4.4.6. Traffic on dedicated servers is unlimited at the provided bandwidth (1 Gbit/s).
4.5.1. We provide managed backup services where we configure, monitor, and maintain automated backups of your systems to our EU-hosted S3 storage.
4.5.2. A one-time setup fee is charged for initial configuration.
4.5.3. While we exercise reasonable care in configuring and monitoring backups, we do not guarantee that every backup will complete successfully or that all data will be recoverable in every circumstance. You are responsible for verifying that your backups are functioning correctly.

5.1. All prices are listed in Euros (EUR) and are final. As a non-VAT-registered entity, we do not charge VAT.
5.2. Payment is processed by Stripe. By placing an order, you agree to Stripe’s terms of service. We accept major credit and debit cards.
5.3. Services are billed monthly in advance. Your subscription renews automatically on the same day each month unless cancelled.
5.4. Setup fees (where applicable) are one-time charges billed at the time of order.
5.5. We reserve the right to change our prices at any time. Price changes for existing subscriptions will be communicated at least 30 days in advance via email. You may cancel your subscription before the new price takes effect.
6.1. You may cancel any subscription at any time from your client dashboard or by contacting us at hello@hummingtribe.com.
6.2. Cancellations take effect at the end of the current billing period. Your service remains active until that date.
6.3. We do not provide prorated refunds for unused portions of a billing period.
6.4. Setup fees are non-refundable once the provisioning process has begun, except as described in Section 4.4.5 (hardware unavailability).
6.5. Upon cancellation and expiry of the billing period:
6.6. It is your responsibility to download or migrate any data you wish to retain before your service expires. We are not responsible for data loss resulting from cancellation.
7.1. You agree not to use our Services for any purpose that is unlawful or prohibited by these Terms, including but not limited to:
7.2. We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms or our Acceptable Use Policy.
7.3. You are solely responsible for the content you store, host, or process using our Services. We do not monitor content proactively but will respond to valid complaints and legal requests.
8.1. We aim to provide reliable, high-availability services but do not guarantee any specific uptime percentage. Our services are provided on an “as-is” and “as-available” basis.
8.2. We may perform scheduled maintenance from time to time, which may result in temporary service interruption. We will make reasonable efforts to notify you in advance.
8.3. Support is provided via email at hello@hummingtribe.com during business hours (Central European Time). We do not guarantee specific response times, but we aim to respond to all inquiries within one business day.
8.4. For managed services (Cloud VPS, Dedicated Servers, Managed Backup), automated monitoring runs continuously. Alerts are generated and acted upon outside of business hours for critical issues.
9.1. We process personal data in accordance with our Privacy Policy.
9.2. All customer data is stored exclusively in European data centers located in Germany.
9.3. For customers who require a Data Processing Agreement (DPA) under the EU General Data Protection Regulation (GDPR), a DPA is available at hummingtribe.com/legal/dpa or upon request at hello@hummingtribe.com.
10.1. All content, trademarks, and intellectual property associated with HummingTribe and our website are owned by HummingTribe.
10.2. You retain all rights to the data and content you store or host using our Services.
10.3. You grant us a limited license to store, transmit, and process your data solely for the purpose of providing the Services.
11.1. To the maximum extent permitted by Romanian law and applicable EU regulations:
11.2. These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).
11.3. Nothing in these Terms excludes or limits liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; or (c) any other liability that cannot be excluded by Romanian law.
12.1. You agree to indemnify, defend, and hold harmless HummingTribe, its owner, and any contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:
13.1. We may suspend or terminate your access to the Services immediately, without prior notice, if:
13.2. Upon termination, your right to use the Services ceases immediately. Section 6.5 applies regarding data deletion.
13.3. Sections that by their nature should survive termination shall survive, including but not limited to: Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.
14.1. We may modify these Terms at any time. We will notify you of material changes via email at least 30 days before the changes take effect.
14.2. Your continued use of the Services after the effective date of the changes constitutes acceptance of the modified Terms.
14.3. If you do not agree with the modified Terms, you may cancel your subscription before they take effect.
15.1. These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles.
15.2. The provisions of the EU General Data Protection Regulation (GDPR) and other applicable EU regulations apply where relevant.
15.3. Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Bucharest, Romania.
15.4. Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through direct communication within a period of 30 days.
15.5. Consumers residing in the EU may also use the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr.
